1.
Name und Sitz
Unter
dem Namen "egs Netzwerk Umweltwissenschaften",
im Folgenden bezeichnet als egs, besteht ein Verein im Sinne
der Art. 60 ff. Zivilgesetzbuch (ZGB) mit Sitz in Bern.
2.
Zweck
Das
egs bezweckt die Pflege und Förderung der unabhängigen,
überparteilichen und nicht-kommerziellen Erforschung
und Beurteilung umweltrelevanter Probleme, insbesondere
im Bereich des Wasser- und Bodenschutzes. Die Ziele des
egs beruhen auf den ethischen Prinzipien der Rio-Konvention
von 1992 (Nachhaltige Entwicklung).
Im
weiteren fördert das egs die Bildung im Umweltbereich
durch wissenschaftliche Präsentationen und Exkursionen.
Bei Bildungsaufgaben achtet das egs das Humboldt'sche Bildungsprinzip.
Schliesslich
fördert das egs die unabhängige, überparteiliche
und nicht-kommerzielle Evaluation wissenschaftlicher Arbeit
im Umweltbereich auf der Grundlage des Codex Ethik Wissenschaftsevaluation
des Schweizerischen Wissenschaftsrats.
Das
egs ist als Netzwerk organisiert und informiert seine Mitglieder
über seinen Internetauftritt www.egs-net.ch.
Es ist konfessionell und politisch neutral.
3.
Mittel
Zur
Verfolgung des Vereinszwecks verfügt der Verein über
die Beiträge der Mitglieder sowie über Zuwendungen
und Erträge aller Art, insbesondere auch aus der Organisation
von Umweltexkursionen.
4.
Mitgliedschaft
Aktivmitglieder
können natürliche Personen werden.
Passivmitglieder
können natürliche und juristische Personen werden.
Die
Aufnahme von Neumitgliedern kann jederzeit erfolgen. Aufnahmegesuche
sind an den Vorstand zu richten, der über die Aufnahme
endgültig entscheidet. Die Mitglieder sind verpflichtet,
die Interessen des Vereins in guten Treuen zu wahren und
den Statuten und den Beschlüssen der Vereinsorgane
nachzuleben.
5.
Beendigung des Mitgliedschaftsverhältnisses
Die
Mitgliedschaft natürlicher Personen endet in jedem
Fall mit dem Tod, diejenige juristischer Personen mit dem
Verlust ihrer Rechtspersönlichkeit.
Im
übrigen ist ein Austritt aus dem Verein auf das Ende
eines Kalenderjahres möglich. Die Austrittserklärung
ist schriftlich an den Vorstand zu richten.
Ein
Mitglied kann von der Generalversammlung ausgeschlossen
werden, wenn es den Interessen des Vereins schadet oder
das Vereinsleben nachhaltig stört.
Vor
einem Ausschluss ist das Mitglied in jedem Fall anzuhören.
6.
Organe des Vereins
Organe
des Vereins sind: Die Generalversammlung, der Vorstand,
die Revisionsstelle.
7.
Die Generalversammlung
Die
Generalversammlung ist das oberste Organ des Vereins. Die
ordentliche Generalversammlung findet jedes Jahr im zweiten
Quartal statt.
Zur
Generalversammlung werden die Mitglieder drei Wochen im
Voraus schriftlich eingeladen, unter Beilage der Traktandenliste.
Anträge seitens der Mitglieder sind dem Vorstand rechtzeitig
einzureichen. Verspätet eingereichte Traktanden werden
grundsätzlich an der nächsten Generalversammlung
behandelt.
Zu
einer ausserordentlichen Generalversammlung kann der Vorstand
einladen. Eine ausserordentliche Generalversammlung ist
auch abzuhalten, falls dies von einem Fünftel der Mitglieder
unter Angabe des Traktandums schriftlich verlangt wird.
Der
ordentlichen Generalversammlung stehen insbesondere folgende
Kompetenzen zu:
- Genehmigung
des Protokolls der letzten Generalversammlung;
- Wahl
des Vorstandes;
- Wahl
der Revisionsstelle;
- Abnahme
des Jahresberichtes des Vorstandes;
- Abnahme
der Jahresrechnung und des Berichtes der Revisionsstelle
sowie Abnahme des Budgets;
- Festsetzung
der Mitgliederbeiträge innerhalb des in Ziff. 10.
festgelegten Rahmens;
- Entlastung
der Organe;
- Erlass
von Reglementen;
- Einsetzung
von Kommissionen;
- Beschlussfassung
über Ausschliessungen aus dem Verein;
- Beschlussfassung
über die Auflösung des Vereins;
- Beschlussfassung
über die Verwendung des Liquidationserlöses
im Fall der Auflösung des Vereins.
Jede
ordnungsgemäss einberufene Generalversammlung ist beschlussfähig,
wenn mindestens drei Aktivmitglieder anwesend sind. Sie
wird vom Präsidenten oder der Präsidentin geleitet,
im Verhinderungsfall von der Stellvertretung. Über
alle Verhandlungen ist zumindest ein Beschlussprotokoll
zu führen.
Jedes
Aktivmitglied verfügt in der Generalversammlung über
eine Stimme.
Passivmitglieder
verfügen in der Generalversammlung über kein Stimmrecht.
Die
Beschlussfassung in der Generalversammlung erfolgt mit einfachem
Mehr der abgegebenen Stimmen. Bei Stimmengleichheit hat
der Präsident oder die Präsidentin das Recht,
den Stichentscheid zu geben. Beschlüsse betreffend
Änderung der Statuten oder Auflösung des Vereins
bedürfen einer absoluten Mehrheit der abgegebenen Stimmen.
8.
Der Vorstand
Der
Vorstand besteht aus mindestens drei Mitgliedern, die auf
zwei Jahre gewählt werden. Wiederwahl ist zulässig.
Der
Vorstand führt die laufenden Geschäfte und vertritt
den Verein nach aussen.
Der
Präsident oder die Präsidentin wird von der Generalversammlung
in das Präsidentenamt gewählt. Im Weiteren konstituiert
sich der Vorstand selbst. Er regelt die Zeichnungsberechtigung.
Der
Vorstand trifft sich zu Sitzungen, soweit dies für
die Besorgung der anfallenden Geschäfte notwendig ist.
Jedes Vorstandsmitglied hat ein Einberufungsrecht. Über
die Vorstandssitzungen wird zumindest ein Beschlussprotokoll
geführt.
Die
Beschlussfassung erfolgt mit einfacher Mehrheit der abgegebenen
Stimmen. Bei Stimmengleichheit kann der Präsident oder
die Präsidentin den Stichentscheid geben.
Beschlussfassung
auf dem Zirkularweg ist möglich, falls von keinem Vorstandsmitglied
mündliche Beratung verlangt wird.
9.
Die Revisionsstelle
Die
Revisionsstelle setzt sich aus einer Person oder zwei Personen
zusammen. Es kann auch eine juristische Person, z. B. eine
erstklassige Treuhandgesellschaft, als Revisionsstelle bestimmt
werden.
Die
Revisionsstelle wird für zwei Jahre gewählt. Wiederwahl
ist zulässig.
Die
Revisionsstelle erstattet der Generalversammlung den Revisionsstellenbericht.
Sie kann während des Jahres Stichproben in der Buchhaltung
des Vereins vornehmen.
10.
Mitgliederbeitrag und Haftung
Die
Jahresbeiträge für Aktiv- und Passivmitglieder
werden jährlich von der Generalversammlung festgesetzt.
Der Mitgliederbeitrag beträgt höchstens SFr. 100.
Für
die Verbindlichkeiten des Vereins haftet nur das Vereinsvermögen.
Jede persönliche Haftung des Vereinsmitglieds ist ausgeschlossen.
11.
Vereinsjahr
Das
Vereinsjahr ist identisch mit dem Kalenderjahr.
12.
Auflösung des Vereins
Wird
der Verein aufgelöst, entscheidet die Generalversammlung
über die Verwendung eines allfälligen Liquidationserlöses.
Wird diesbezüglich kein Beschluss gefasst, ist der
Erlös einer wohltätigen Stiftung oder Organisation
zu übergeben.
13.
Inkrafttreten der Statuten
Diese
Statuten sind anlässlich der Gründungsversammlung
vom 6. August 2002 angenommen und sofort in Kraft gesetzt
worden.

by egs. egs reserves the right for any reason to remove
without notice any contents of the Forums received from
User, including without limitation email and bulletin board
postings.
Mention
of companies or products

mention of names of specific companies or products (whether
or not indicated as registered) does not imply any intention
to infringe proprietary rights, nor should it be construed

egs reserves its exclusive right in its sole discretion
to alter, limit or discontinue the site or any Materials
in any respect. egs shall have no obligation to take the

egs reserves the right to deny in its sole discretion any
user access to this Site or any portion thereof without
notice.
15.
No waiver by egs of any provision of this Agreement shall
be binding except as set forth in writing signed by its
duly authorized representative.
